These Terms & Conditions ("Terms") govern your use of BookSadie.com and related services (the "Service"), provided by Sadie Services ("we", "us", "our"). By creating an account or using the Service you agree to these Terms.
1. Who you are contracting with
The Service is operated by Sadie Services, trading as BookSadie.com. You are contracting with Sadie Services.
2. Acceptance and eligibility
By using the Service you confirm you are of legal age to enter a binding contract and, if you are acting for a business or charity, that you have authority to bind that entity. Continued use of the Service constitutes acceptance of these Terms.
3. The Service
BookSadie.com is a marketplace that helps customers discover and book services from providers and volunteer opportunities from charities. We do not perform the underlying services ourselves. Providers and charities are independent third parties responsible for the services they list and deliver.
4. Acceptable use
You must not misuse the Service. In particular you must not:
- Use the Service for any unlawful purpose or to facilitate illegal activity.
- Engage in fraud, spam, or deceptive practices.
- Infringe the intellectual property or other rights of anyone else.
- Interfere with the security or integrity of the Service (malware, probing, scraping, denial of service).
- Attempt to reverse engineer, resell, or redistribute the Service, or circumvent technical limits.
5. Accounts
You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.
6. Intellectual property
Sadie Services retains all right, title and interest in the Service, including its software, documentation, branding, and content we create. We grant you a limited, non-exclusive, non-transferable right to use the Service under your selected plan. Content you upload remains yours; you grant us a limited licence to host and process it solely to provide the Service.
7. Payments, subscriptions and refunds
Paid plans are billed on a recurring basis (monthly or annually) at the price shown at checkout. Fees, billing frequency, taxes, cancellation, and refunds are handled by our reseller Paddle. Please refer to Paddle's Buyer Terms for the full payment terms, and to our Refund Policy for refund details.
Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
8. Service availability
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free performance. We may perform maintenance, add or remove features, and update the Service at our discretion.
9. Suspension and termination
We may suspend or terminate your access, with or without notice, for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. On termination, your right to use the Service ends. We will provide a reasonable window for you to export data where practicable.
10. Warranties and disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not responsible for services delivered by third-party providers or charities listed on the Service.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be limited by law.
12. Indemnity
You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Service. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of New Zealand. Disputes will be resolved in the courts of New Zealand, subject to any mandatory consumer protection rights in your country of residence.
